1. Introduction

These Terms of Service ("Terms") govern your use of Lucid Voice, a voice-to-text application developed by Postulate Labs, Inc. ("Lucid," "we," "our," or "us"). By downloading, installing, or using Lucid Voice, you agree to these Terms. If you do not agree, you may not use the application.

2. The Service

Lucid Voice provides advanced offline voice-to-text transcription software for macOS. The Service includes:

  • Privacy-First Processing: All voice transcription happens locally on your device using advanced AI models. Your voice data never leaves your computer.
  • Universal Input: Voice-to-text functionality that works across all applications on your Mac.
  • Automatic Formatting: Intelligent punctuation, capitalization, and formatting of transcribed text.
  • License Activation: One-time online activation required to validate your license. After activation, the app works entirely offline.

Service Quality: While we strive for high accuracy, speech recognition results may vary based on factors such as audio clarity, speaking patterns, microphone quality, and background noise. You acknowledge that:

  • AI-generated transcriptions may contain errors or inaccuracies.
  • You are responsible for reviewing and verifying transcribed text before relying on it.
  • The Service is provided for personal or internal business use only.

3. License and Usage

License Grant: Upon purchase, we grant you a non-exclusive, non-transferable license to use Lucid Voice on the number of devices specified in your purchase (Solo, Duo, or custom device count).

Activation: You must activate your license online once after purchase. After activation, you may use the app offline indefinitely on your licensed devices.

Restrictions: You may not:

  • Resell, rent, lease, or distribute your license to third parties.
  • Reverse engineer, decompile, or disassemble the application.
  • Use the Service for any unlawful purpose or in violation of these Terms.
  • Exceed the number of licensed devices specified in your purchase.

4. User Responsibilities

  • License Security: You must keep your license key confidential and secure. Lucid is not responsible for unauthorized use of your license.
  • System Requirements: You are responsible for ensuring your device meets the minimum requirements (macOS 14 Sonoma or later).
  • Lawful Use: You agree to use Lucid Voice in compliance with all applicable laws and regulations.
  • Account Information: You must provide accurate and current information during purchase and registration.

5. Pricing and Payment

One-Time Purchase: Lucid Voice is sold as a one-time purchase with no recurring subscription fees. Pricing is based on the number of devices licensed.

Lifetime Updates: Your purchase includes lifetime software updates at no additional cost.

Taxes: You may be responsible for applicable taxes based on your location.

Payment Processing: Payments are processed securely through trusted third-party payment services. We do not store your credit card or payment information on our servers.

Non-Refundable Fees: All fees are non-refundable. By completing your purchase, you acknowledge and agree that all payments made for Lucid Voice licenses are final and non-refundable. Due to the immediate delivery of digital licenses, we cannot offer refunds once a license key has been issued and delivered.

No Liability for Refunds: Lucid Voice and Postulate Labs, Inc. will have no liability to the Client for refunding any fees charged or paid by the Client. We will, however, work with you in good faith to resolve any legitimate technical issues you experience with the software.

6. Privacy and Data

Privacy-First Design: All voice transcription happens locally on your device. Your voice data and transcriptions never leave your computer and are never transmitted to our servers or any third party.

Minimal Data Collection: We collect only essential data necessary for license activation, delivery, and customer support. For complete details, see our Privacy Policy.

7. Intellectual Property

Lucid Voice, including all software, designs, graphics, and documentation, is owned by Postulate Labs, Inc. and protected by copyright, trademark, and other intellectual property laws. These Terms grant you only a limited license to use the software as specified and do not grant you any rights to our technology, trademarks, or branding.

8. Warranties and Disclaimers

Limited Warranty: We warrant that Lucid Voice will perform substantially as described in our documentation. This warranty is limited to a period of 30 days from your purchase date.

Disclaimer: Except as expressly provided above, Lucid Voice is provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Service will be error-free, uninterrupted, or meet your specific requirements.

9. Limitation of Liability

Lucid shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption arising from your use of the Service.

Some jurisdictions do not allow certain liability limitations. In such cases, our liability will be limited to the minimum extent required by applicable law.

10. Updates and Modifications

Software Updates: We may release updates, patches, and new versions of Lucid Voice. Your license includes access to all such updates at no additional cost.

Terms Updates: We may modify these Terms from time to time. If we make material changes, we will notify you via email or through the application. Continued use of Lucid Voice after changes take effect constitutes acceptance of the modified Terms.

11. Termination

Your Rights: You may stop using Lucid Voice at any time by uninstalling the application.

Our Rights: We may suspend or terminate your license if you breach these Terms, engage in fraudulent activity, or if required by law.

Effect of Termination: Upon termination, you must cease all use of Lucid Voice and uninstall the application from all devices. Sections of these Terms that by nature should survive (including liability limitations, disclaimers, and dispute resolution) will remain in effect.

12. Dispute Resolution

Informal Resolution: Before pursuing formal action, please contact us at support@lucidvoice.app to resolve any disputes informally.

Arbitration: If informal resolution fails, disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless prohibited by local law.

No Class Actions: You agree to resolve disputes on an individual basis and waive any right to participate in class or representative actions, to the extent permitted by law.

13. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law provisions. However, if you reside in a jurisdiction (such as the European Union) with laws that require local governing law, those laws will apply instead.

14. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lucid regarding your use of the Service.

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

No Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
